1. Services & Deliverables

• Scope of Work: Silicon Central Inc. provides custom web application development, software engineering, and digital consulting. The specific deliverables, timelines, and costs will be outlined in a separate Statement of Work (SOW) or service agreement signed by both parties.
• Client Responsibilities: Clients agree to provide timely feedback, necessary assets, access credentials, and approvals required for the successful completion of the project.

2. Intellectual Property

• Client IP: Clients retain full ownership of all intellectual property, data, and proprietary content provided to Silicon Central Inc. for use in their projects.
• Work Product: Upon full payment of all applicable fees, Silicon Central Inc. assigns to the client ownership of the final customized code and deliverables created specifically for the client under an SOW. Silicon Central Inc. retains ownership of pre-existing tools, libraries, frameworks, and underlying methodologies.

3. Payment Terms

• Invoicing: Payment schedules, deposits, and milestone installments will be specified in the individual project SOW.
• Late Payments: Invoices unpaid past their due date may incur late fees, and Silicon Central Inc. reserves the right to suspend development work until accounts are brought current.

4. Limitation of Liability

To the maximum extent permitted by law, Silicon Central Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of our Services or custom-developed software.
